These Terms of Service ("Terms") govern every quote, order, and service provided by HANDS Logistics ("HANDS", "we", "us") to a client ("you"). Where you and HANDS have signed a master service agreement or statement of work, that document controls to the extent it conflicts with these Terms.
1. Scope & agreement
HANDS provides warehousing and 3PL, white-glove delivery, event and experiential logistics, fulfillment and kitting, and on-site personalization services. You accept these Terms by requesting a quote, placing an order through our request portal, approving a quote, or tendering goods to HANDS.
2. Quotes, orders & changes
Quotes are valid for 30 days and are based on the scope, quantities, dates, and venue information you provide. Work outside the quoted scope (additional stops, wait time beyond 30 minutes, after-hours or holiday service, union or venue fees, re-deliveries, and changes requested within 48 hours of a scheduled job) is billed at our current rate card.
Cancellations within 48 hours of a scheduled service may be charged up to 50% of the quoted amount; cancellations within 24 hours or on arrival may be charged in full.
3. Client responsibilities
- Provide accurate descriptions, counts, dimensions, weights, and values of all goods tendered.
- Pack goods suitably for handling and transport unless HANDS has been engaged to pack them.
- Secure venue access, dock reservations, certificates of insurance, and permits unless HANDS has agreed in writing to do so.
- Disclose hazardous, perishable, fragile, high-value, or regulated items (including alcohol) before tender. HANDS handles alcohol only where lawful and in compliance with applicable licensing.
- Have an authorized representative available to receive, sign, and inspect at delivery, or designate in writing that unattended delivery is acceptable.
4. Warehousing & storage
Goods are received, counted, and recorded on intake; discrepancies against your manifest are noted on the receiving record. Storage is billed monthly in advance. HANDS may refuse, or require removal of, goods that are hazardous, illegal, or unsuitable for the facility.
If storage charges remain unpaid for 60 days after written notice, HANDS may exercise a warehouse lien over the stored goods in accordance with Nevada law, including sale to satisfy the amounts owed.
5. Delivery & proof of delivery
HANDS uses its own trained crews and does not subcontract core handling without your consent. Scheduled windows are targets; delays caused by venue, security, weather, traffic, or events beyond our reasonable control are not a breach. Every delivery is documented with photographic proof of delivery and, where a representative is present, a signature. Delivery is complete when goods are placed at the agreed location or handed to your representative or the venue's receiving staff.
6. Event & on-site services
For activations, trade shows, and on-site personalization, HANDS staff work under your direction as to presentation and brand standards and under HANDS direction as to safety and handling. You are responsible for venue rules, labor jurisdiction requirements, and any product supplied for personalization. Engraving and personalization are performed on items you supply; HANDS is not liable for defects in the underlying item.
7. Liability & claims
HANDS is liable for loss of or damage to goods caused by its negligence while in its care, custody, and control. Unless you declare a higher value in writing before tender and pay the applicable valuation charge, HANDS' liability is limited to $0.60 per pound per item or $100 per shipment, whichever is greater, and in no case more than the service charges for the job in question.
HANDS is not liable for indirect, consequential, or special damages, including lost revenue, lost sponsorship, or event cancellation costs; for concealed damage in client-packed goods; for ordinary wear, inherent vice, or pre-existing conditions; or for loss caused by events beyond its reasonable control.
Visible damage or shortage must be noted at delivery. All other claims must be submitted in writing within 9 months of delivery with supporting documentation. Suits must be filed within two years of the date of delivery or the date delivery should have occurred.
You are encouraged to insure goods for full replacement value. HANDS can provide a certificate of its own insurance on request.
8. Payment
Invoices are due on receipt unless credit terms have been agreed in writing (typically net 15 or net 30). Late balances accrue interest at 1.5% per month or the maximum lawful rate, whichever is lower, plus reasonable collection costs. HANDS may suspend services or hold goods while an account is past due.
9. Portals & site use
Client asset portals are provided for your account's use. You are responsible for all activity under your credentials. The HANDS name, logo, site content, and portal software are the property of HANDS and may not be copied or reused without permission. Portals and the site are provided "as is"; HANDS may modify or discontinue features with reasonable notice.
10. General
These Terms are governed by the laws of the State of Nevada. Disputes will be resolved in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction. If any provision is unenforceable, the remainder stays in effect. HANDS may update these Terms; the version in effect on the date of a quote or order applies to that work. Notices to HANDS should be sent to concierge@handslogistics.com.
